Affiliate Program Terms & Conditions

Welcome to the NXT Cloud Chat Affiliate Program, operated by NXTWEBSITE (“Company”, “we”, “our”, or “us”). By registering as an affiliate, you (“Affiliate”, “you”, or “your”) agree to comply with and be bound by these Terms & Conditions. If you do not agree with these terms, you must not participate in the program.

1. Program Overview

The Affiliate Program allows approved affiliates to promote the NXT Cloud Chat WordPress plugin. Affiliates may promote the plugin using their approved affiliate referral link, coupon code, content channels, and other approved marketing methods.

Affiliates earn commissions based on valid referrals, verified sales, and approved promotional contributions, subject to these Terms.

2. Eligibility

To participate in the program, you must:

  • Be at least 18 years old.
  • Provide accurate and complete registration information.
  • Be manually approved by our team.
  • Not engage in fraudulent, misleading, illegal, or unethical activities.

We reserve the right to accept, reject, suspend, or terminate any application or affiliate account at our sole discretion.

3. Commission Structure (Level-Based)

Affiliate commissions are determined by a level-based commission system.

Level Requirement Commission
🥇Level 1 – Starter Default approved affiliate 10%
🥈Level 2 – Active 10 or more successful sales 20%
🥉Level 3 – Content Creator At least one approved YouTube video or one approved blog post 30%
🏆Level 4 – Power Affiliate 10 or more successful sales + approved YouTube video + approved blog post 40%

The maximum commission is strictly capped at 40%. Commission applies only to successful, completed, and non-refunded orders that qualify under our tracking and validation rules.

4. Referral Tracking

Referrals may be tracked using:

  • Unique affiliate referral links
  • Affiliate-specific coupon codes
  • Other approved internal attribution methods used by the Company

Only valid completed transactions are eligible for commission. We are not responsible for tracking failures caused by browser restrictions, cookie blocking, incorrect link usage, coupon misuse, technical interruptions, or circumstances outside our control.

5. Content-Based Commission Requirements

5.1 YouTube Content Requirements

To qualify for content-based commission consideration through YouTube:

  • The video must be public and accessible.
  • The video must generally be at least 3 minutes in length.
  • The video must provide meaningful explanation, demo, review, tutorial, or genuine use-case discussion of NXT Cloud Chat.
  • The video description must include either your approved affiliate referral link or the official plugin URL.

The following may be rejected or revoked:

  • Low-quality spam videos
  • Pure slideshow or recycled content without meaningful value
  • Misleading or false claims
  • Content that misrepresents the Company, product features, pricing, or policies

5.2 Blog Content Requirements

To qualify for content-based commission consideration through a blog post:

  • The post must generally contain at least 800 words.
  • The post must include either your approved affiliate referral link or the official plugin URL.
  • The content must provide genuine value, such as a review, tutorial, comparison, walkthrough, or practical explanation.
  • The content must be original and must not be copied, spun, or plagiarized.

The following may be rejected or revoked:

  • Plagiarized content
  • Auto-generated spam or low-value pages
  • Hidden, misleading, or deceptive links
  • Content published solely for manipulation without genuine informational value

6. Content Verification, Maintenance, and Revocation

We reserve the right to review, verify, approve, reject, revoke, or re-evaluate affiliate content at any time.

If any previously approved YouTube video or blog post is later found to be deleted, made private, inaccessible, materially altered, stripped of the required link, non-compliant, misleading, or otherwise invalid, then the related content benefit may be revoked.

If content approval is revoked, the affiliate’s level may step back to the appropriate lower level, and the commission rate may be recalculated immediately or from the next eligible commission cycle, as determined by the Company.

7. Level Adjustment and Downgrade Policy

Affiliate levels are dynamic and may increase or decrease based on sales performance, content approval status, content availability, compliance, and internal validation.

Downgrades may occur if:

  • Approved content is deleted, unpublished, made private, or becomes inaccessible
  • Required links are removed from approved content
  • Policy violations are detected
  • Fraud, abuse, misrepresentation, or prohibited promotion is identified

All level decisions and recalculations are made at the Company’s discretion and shall be final.

8. Payment Policy

8.1 Payment Timeline

Eligible commissions become payable 15 days after the product purchase date, subject to successful payment receipt, validation, fraud review, and the absence of refund, dispute, or chargeback events.

8.2 Net Commission Basis

Commission is calculated on net revenue only, not on the listed product price.

Net revenue means the amount actually received by the Company after all applicable deductions, including but not limited to:

  • Payment gateway charges
  • Taxes, GST, VAT, or similar taxes, if applicable
  • Transaction or processing fees
  • Coupon, promotional discount, or price reduction applied to the customer order
  • Any other applicable deductions, reversals, or operational charges

Affiliate commissions are calculated only on the final net amount actually received by the Company after all applicable deductions.

8.3 Payment Conditions

Payments are subject to the following conditions:

  • Only completed and non-refunded orders qualify.
  • Commission may be held for review in case of suspicious activity, disputes, refund risk, or compliance review.
  • We may apply a minimum payout threshold and reasonable payout verification requirements.
  • Payment timing, mode, and processing may depend on administrative, compliance, and accounting review.

9. Refunds, Chargebacks, and Reversals

If a referred transaction is refunded, reversed, disputed, partially refunded, or charged back, the related commission may be cancelled, reversed, withheld, offset, or deducted from future payouts.

10. Affiliate Responsibilities

Affiliates are responsible for:

  • Complying with applicable laws, regulations, and disclosure requirements.
  • Clearly disclosing affiliate relationships where required under applicable law or platform policy.
  • Using ethical, accurate, and non-deceptive promotion methods.
  • Maintaining up-to-date contact and payout information.

11. Prohibited Activities

Affiliates must not:

  • Send spam through email, comments, messaging, or other channels.
  • Use misleading, false, or exaggerated claims.
  • Impersonate NXTWEBSITE, NXT Cloud Chat, or any official representative.
  • Use unauthorized brand assets, fake testimonials, fake reviews, or fake offers.
  • Manipulate tracking, self-refer in a prohibited manner, or exploit loopholes.
  • Bid on brand keywords in paid advertising without written permission.
  • Use illegal, unethical, defamatory, or harmful promotional methods.

Violation may result in immediate suspension, commission cancellation, account termination, legal action, or any combination of these remedies.

12. Coupon Misuse Policy

Affiliates may only use approved or assigned coupon codes in the manner authorized by the Company. Public sharing of coupon codes may be restricted, monitored, or require approval.

Self-use, misuse, coupon injection, coupon poaching, unauthorized code sharing, misleading discount claims, or any similar abuse may result in disqualification, commission reversal, or termination.

13. Brand and Trademark Usage

Affiliates may use only approved brand assets, descriptions, and promotional materials where provided. Affiliates must not alter logos in a misleading manner, imply ownership, misrepresent partnership status, or present themselves as the Company.

We reserve the right to require modification or removal of any branding, messaging, creatives, pages, or advertisements at any time.

14. AI Content Policy

Low-quality, deceptive, or purely automated AI-generated content is not permitted for content-based commission benefits. Use of AI tools does not automatically disqualify content, but the final content must contain genuine human-added value, original insight, meaningful explanation, and practical usefulness.

We reserve the right to reject or revoke approval for content that appears to be spam, mass-generated, low-value, misleading, or created primarily for search or ranking manipulation.

15. Fraud Review and Audit Rights

We reserve the right to investigate referrals, sales activity, coupon usage, content submissions, traffic quality, and affiliate behavior for fraud prevention, abuse control, audit, and compliance purposes.

We may delay approval, delay payment, reverse commission, revoke benefits, downgrade levels, suspend accounts, or terminate participation where suspicious or abusive behavior is identified.

16. GDPR and Data Protection

Affiliates must comply with applicable privacy and data protection laws, including GDPR where applicable. Affiliates must not unlawfully collect, process, store, or misuse user or customer data.

We do not share customer personal data with affiliates except as necessary for lawful internal attribution, payout, or program administration.

17. Termination

We reserve the right to suspend, restrict, or terminate any affiliate account at any time, with or without prior notice, where permitted by law. Reasons may include policy violations, fraud, abuse, inactivity, misrepresentation, legal risk, or any other reason deemed necessary to protect the Company, the product, users, or the program.

18. Modification of Terms

We may modify, update, replace, or discontinue these Terms & Conditions, the affiliate program, the commission structure, the level system, qualifying rules, or related policies at any time.

Your continued participation in the program after any update constitutes acceptance of the revised terms.

19. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of opportunity, data loss, platform restrictions, tracking failures, or business interruption arising out of or related to the affiliate program.

20. No Guarantee

Participation in the affiliate program does not guarantee earnings, commissions, traffic, conversions, approvals, level progression, or ongoing acceptance. Results depend on many factors, including content quality, audience relevance, compliance, product fit, market conditions, and customer behavior.

21. Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of India, without regard to conflict of law principles.
